GENERAL TERMS AND CONDITIONS OF SALE AND TERMS OF PURCHASE

Introduction and acceptance of conditions
These general terms and conditions of sale and purchase (hereinafter the " conditions ") govern all transactions made with PRETTYINSIDEOUT INC. (hereinafter " PIO "), including with respect to prices, payments, taxes, currencies, delivery, returns, exchanges, credits, refunds and applicable warranties, subject to the mandatory provisions of the Consumer Protection Act (hereinafter the " CPA ").
Any order placed with PIO constitutes full and complete acceptance of the conditions.

Order
All orders are subject to acceptance and confirmation by PIO. PIO reserves the right to refuse, cancel, or limit any order, for example, in cases of suspected fraud, obvious error, unavailability of an item, or failure to comply with the terms and conditions.

Payment
All payments are due immediately upon placing any order.
The accepted payment methods are:

credit cards (Visa, Mastercard and American Express);

accelerated payment methods such as Shop Pay, Shop Pay Installments (subject to availability), Apple Pay, Google Pay and PayPal Express Checkout.
All payments can be authorized and then captured automatically or manually depending on the payment method used and applicable security settings. If a payment cannot be captured within the time frame imposed by the customer's financial institution, the order may be canceled without further notice.

Prices, currency and taxes
All prices displayed on the PIO website (hereinafter the " Site ") are in Canadian dollars (CAD). Any currency conversion tool that may be accessible on the Site is provided for informational purposes only.
All orders are processed and invoiced in Canadian dollars (CAD), regardless of the currency selected during browsing. Depending on the circumstances, the customer's financial institution may apply currency conversion fees or other bank charges, which remain entirely the customer's responsibility.
All applicable taxes (GST, QST or other taxes payable depending on the jurisdiction) are calculated automatically at checkout, based on the billing and/or delivery information provided.

Delivery
Delivery is provided by third-party carriers selected by PIO.
Delivery times are provided for informational purposes only and may vary beyond PIO's control. PIO cannot be held responsible for delays caused by carriers, customs authorities, or any event beyond its control.
Delivery conditions:

Canada: Free shipping on orders over $299.00 CAD (insurance included); a flat rate of $9.99 for standard shipping and $14.99 for Xpress Post shipping apply to orders below this amount.

International: fees calculated at the time of purchase;

Pio insures your package during transport

Signature required upon delivery to ensure the security of the package.

Return – Timeframe and eligibility
Items can be returned within five (5) days of receipt.
Eligibility requirements:

clean, unworn, unwashed and undamaged items;
-
original labels and packaging intact;
-
Regarding shoes, the fitting must be done only on a carpeted surface or a surface that will not leave any marks from the fitting. Fitting instructions are provided in your order confirmation email and in the order itself.
Any return that does not comply with these conditions may be refused, at PIO's discretion.

Return – Procedure
The return process is handled exclusively through the customer account. To do so:

access the "My Orders" section;

select the "Request a return" option;
-
We will reply to your email as soon as possible; you may be asked to provide evidence, photos, or documents.

return the item in its original packaging and with its tags in an undamaged condition.

Return shipping costs: Canada: "We offer a prepaid label upon request."
USA: "Returns are at the customer's expense."
PIO will inspect the item upon receipt.

Store credit and exchange
Items returned in compliance will result in the issuance of a store credit, within approximately seventy-two (72) hours following validation of the return.
Shop credit:

is complete, personal and non-transferable;
-
can be used throughout the store, with no expiry date;
-
can be used to purchase any item, present or future.
Items purchased using store credit are subject to the same return conditions.

Non-returnable items
The following are not eligible for return:
-
worn, washed or damaged items;
-
shoes whose soles are marked or whose protective film has been removed;
-
items identified as non-returnable at the time of purchase.

Defective or non-compliant items
In the event of a manufacturing defect or damage occurring during transport, PIO undertakes, at its discretion:
-
either to replace the item with an identical or equivalent item, if available;
-
either to issue a store credit or a refund, including the initial delivery charges.
Any request to this effect must be submitted within five (5) days of receipt of the article in question, accompanied by sufficient supporting evidence.

Guarantees and authenticity
All items sold by PIO are authentic and sourced from authorized retailers or certified partners.
Each item is offered in brand new condition and undergoes rigorous inspection to ensure quality, integrity and conformity before shipment.
In rare cases, some items may have been briefly worn for strictly professional purposes, such as during photo shoots or the recording of various content, without this affecting their condition, hygiene, value, or newness as defined by commercial practices. These items are always carefully checked before being offered for sale.
Where applicable, luxury items are accompanied by their official certificate of authenticity or any other element that attests to their authenticity, in accordance with the practices of the brand or supplier.
Slight variations may also be observed in the packaging or the presence of certain original labels. An original label may or may not display the retail price, depending on the practices of suppliers or affiliated brands, without affecting the authenticity, quality, or value of the item.
The rights provided by law, such as those relating to hidden defects or the conformity of an item, remain applicable.

User-generated content (UGC)
By posting content, such as reviews, photographs, videos or any other similar content, the user grants PIO a non-exclusive, worldwide and royalty-free license to use, reproduce and distribute this content for advertising, marketing, communication and customer experience improvement purposes, on its platforms and digital media.
The user remains solely responsible for the content they publish and guarantees that they hold the necessary rights to authorize its use by PIO, without infringing on the rights of third parties or breaking the law.
PIO reserves the right to refuse, moderate or remove any content deemed inappropriate, illegal or contrary to its values.
To the extent permitted by law and where the use in question is beyond its control, PIO disclaims all liability for any consequences that may arise from the use, by third parties, of user-generated content.

Intellectual property
The site's content, including texts, images, photographs, videos, graphics, logos, layouts and other visual and graphic elements, is a collection of intellectual property assets protected by law and belonging to PIO.
Any use, reproduction, distribution, modification or exploitation of this content is strictly prohibited without the prior written authorization of PIO.

Personal data
The collection and processing of personal information is carried out in accordance with the law.

Force majeure
PIO cannot be held responsible for any delay in the performance of its obligations or for any failure to perform its obligations resulting from an event beyond its control constituting a case of force majeure within the meaning of the Civil Code of Quebec , including natural disasters, labour disputes, technical failures, service interruptions, failures of carriers or suppliers or any other unforeseeable and irresistible circumstance.
In the event of force majeure, the affected obligations are suspended for the duration of the event. PIO undertakes to resume the performance of its obligations as soon as the situation allows.
If the circumstances of force majeure continue beyond a reasonable time and make performance definitively impossible, each party may terminate the transaction, subject to the mandatory provisions of the LPC, without compensation, damages, or compensation, except, where applicable, for the reimbursement of sums paid for services not performed.

Change of conditions
PIO reserves the right to modify these terms and conditions without prior notice. Modifications take effect immediately upon publication on the website.

Applicable law and jurisdiction
The site and the terms and conditions are governed and interpreted in accordance with the laws of the province of Quebec and the applicable federal laws of Canada.
Any dispute arising from the use of the site or the interpretation or application of the conditions shall be submitted to the exclusive jurisdiction of the competent courts of the province of Quebec and/or the Federal Court of Canada before the judicial district of PIO's head office, namely Longueuil.

PIO collects, uses and discloses personal information only with the consent of the individual concerned, except where the law permits or requires otherwise.
Consent may be express or implied depending on the nature and sensitivity of the personal information. It may be withdrawn at any time, subject to legal or contractual restrictions. However, withdrawing consent may limit access to certain PIO services or features.

In certain limited contexts, such as fraud prevention, transaction security, or payment processing, PIO may use decision-making processes based solely on automated processing of personal information. If such a decision produces legal effects or has a significant impact on the individual concerned, that individual may, in accordance with the law, obtain information about the personal information used, the main factors that led to the decision, and the reasons behind it, and may submit comments or request that such a decision be reviewed.

Security, access and conservation

All requests and complaints are considered by PIO on a case-by-case basis, in accordance with the legal framework in force at that time.
All requests and complaints must be addressed and formulated to the person responsible for the protection of personal information at PIO, who is identified in Article 12 of the policy and who will respond within the time limits provided by law.

Children under fourteen (14) years old
PIO does not knowingly collect personal information from children under the age of fourteen (14) without the consent required by law. If PIO learns that it has inadvertently collected such information, it will take reasonable steps to destroy or anonymize it, subject to applicable legal obligations.

Privacy incidents
PIO maintains a confidentiality incident management process and keeps a record of confidentiality incidents, whether or not they present a risk of serious harm.
As soon as an incident presents a risk of serious harm, PIO promptly notifies:

the Access to Information Commission;

the people involved;

any other entity that may contribute to reducing the risk.
The register of confidentiality incidents is kept for a minimum period of five (5) years from the date on which PIO became aware of the incident.

PIO designates a person responsible for the protection of personal information, Ms. Emanuelle ROBITAILLE, who is notably responsible for:

to oversee the management of confidentiality incidents;

to respond to access requests and complaints.
